Terms of service

These terms govern your use of the MittoPay platform, API, dashboard, and related services. By opening an account or integrating our API, you agree to them.

Acceptance of these terms

These Terms of Service (the "Terms") form a binding agreement between Virentis Payment Corporation, a company incorporated under the Business Corporations Act of British Columbia, Canada (Incorporation No. BC1592848), with its registered office at 205 - 50 Lonsdale Ave, Office #2243, North Vancouver, BC V7M 2E6, Canada, trading as MittoPay ("MittoPay", "we", "us"), and the business or organization that opens a MittoPay account ("you", "Merchant"). By creating an account, accessing the dashboard, or making a call to our API, you confirm that you are authorized to bind your organization and that you accept these Terms.

If you do not agree, do not use the services. We may update these Terms from time to time; material changes will be announced by email or in the dashboard at least 30 days before they take effect.

The services

MittoPay provides payment infrastructure that lets you collect payments from customers through local payment methods, receive settlement in a supported currency, and send payouts. The services include the hosted checkout, the API and sandbox, webhooks, the merchant dashboard, reporting tools, and related support.

Virentis Payment Corporation is a money services business (MSB) under Canada's Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA), subject to FINTRAC's registration, record-keeping, and reporting requirements. It provides foreign exchange dealing, remitting and transmitting of funds, and dealing in virtual currency (including exchange between fiat currency and the stablecoins USDT and USDC). Where a settlement route uses virtual currency, the conversion is performed by us or our approved partners; you receive fiat currency in the amount and at the rate quoted, and you do not hold virtual currency unless you have expressly opted into a virtual-currency settlement product.

Availability of specific payment methods, currencies, and corridors depends on our banking and network partners and may change. We will give reasonable notice where a change affects live traffic.

Eligibility and onboarding

To use the services you must be a legally registered business, provide accurate information about your company, ownership, and activity, and pass our know-your-business (KYB) and anti-money-laundering (AML) checks as required by the PCMLTFA and our AML/CFT Compliance Program. Accounts may only be funded from, and payouts sent to, bank accounts and wallets held in the Merchant's own name and verified by us. We do not offer occasional transactions without an account and completed due diligence. You agree to keep this information current and to respond to reasonable requests for supporting documents.

We may decline, suspend, or limit an account where required by law, by a partner, or by our risk policies. Sandbox access does not imply approval for live processing.

Acceptable use

You may use the services only for lawful business activity that you disclosed during onboarding. You must not use the services to:

  • process payments for goods, services, or industries prohibited by law or by our partner networks;
  • facilitate money laundering, terrorist financing, sanctions evasion, or fraud;
  • submit transactions on behalf of undisclosed third parties or act as an unregistered payment aggregator;
  • probe, scan, or test the vulnerability of the platform outside our published responsible-disclosure process;
  • misrepresent MittoPay, its partners, or the status of a transaction to your customers.

You are responsible for your customers' experience, including product delivery, refund policies, and customer support for the goods or services you sell.

Fees, settlement, and reserves

Fees are set out in your order form or pricing schedule and are deducted from settlement unless agreed otherwise. Where currency conversion is required, it is applied at the rate quoted to you at the time of settlement, inclusive of our conversion margin; the quoted rate is the rate you receive and no further conversion charge is deducted.

Settlement timing follows the schedule for your corridor, typically the same business day (D0). We may hold a rolling reserve or delay settlement where we identify elevated chargeback, refund, or fraud risk, and will explain the reason and expected duration when we do.

You remain liable for chargebacks, reversals, penalties, and fines arising from your transactions, and we may net these against future settlements.

Data and privacy

Each party will comply with applicable data-protection law. Our handling of personal data is described in the Privacy policy. Where you provide us with personal data about your customers, you confirm you have a lawful basis to do so and have given any required notices.

You must protect API keys and dashboard credentials, use them only within your systems, and rotate them immediately if you suspect compromise.

Intellectual property

MittoPay owns the platform, API, documentation, and all related intellectual property. We grant you a limited, non-exclusive, non-transferable license to use them for the purpose of receiving the services. You retain ownership of your own brand assets and data, and grant us the right to use them solely to provide the services, for example to display your logo on hosted checkout.

Warranties and liability

We will provide the services with reasonable skill and care and aim for the availability described on our Security page. Except as expressly stated, the services are provided "as is" and we disclaim implied warranties to the extent permitted by law.

Neither party is liable for indirect or consequential loss. Our total liability under these Terms in any twelve-month period is limited to the fees you paid us in that period, except for liability that cannot be limited by law.

Suspension and termination

Either party may terminate on 30 days' written notice. We may suspend or terminate immediately if you breach these Terms, if required by law or a partner, or if continued service would expose MittoPay to material risk. On termination we will settle funds owed to you after deducting outstanding amounts and any reserve needed to cover pending chargebacks, and will provide reasonable access to export your transaction data.

Governing law and contact

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Disputes will first be raised in good faith with your account manager; unresolved disputes are subject to the exclusive jurisdiction of the courts of British Columbia, Canada, unless your order form names an arbitration body instead.
